These Terms of Service ("Terms") constitute a legally binding agreement between you ("User") and Invest.Lease ("Company," "we," "us," or "our") governing your access to and use of the Invest.Lease platform (the "Platform"), a software-as-a-service marketplace purpose-built for commercial real estate ("CRE") professionals. By creating an account, authenticating via social login (Google or LinkedIn), or otherwise accessing any portion of the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not accept these Terms in their entirety, you must immediately discontinue all use of the Platform.
Access to the Platform is restricted to individuals who are at least 18 years of age and have the legal capacity to enter into binding agreements. By registering, you represent and warrant that all information you provide is accurate, current, and complete, and that you will maintain such information on an ongoing basis.
You may register using a valid email address and password, or through a supported social login provider (Google or LinkedIn). When using social login, you expressly authorize Invest.Lease to retrieve limited profile data — including your name, email address, and profile picture — strictly in accordance with your privacy settings on the respective platform and our Privacy Policy.
You are solely responsible for maintaining the confidentiality of your account credentials, including your password. You agree not to share your credentials with any third party or permit unauthorized access to your account. You must notify Invest.Lease immediately at support@invest.lease if you become aware of or suspect any unauthorized use of your account or any other security breach.
Invest.Lease will not be liable for any loss or damage arising from your failure to maintain the security of your credentials or from unauthorized access to your account that results from your actions or omissions. You accept responsibility for all activity that occurs under your account, whether or not authorized by you.
Invest.Lease provides an integrated suite of modules designed to serve the full lifecycle of CRE transactions. By accessing any module, you agree to comply with the rules and obligations applicable to that module, as set out below:
Invest.Lease is a technology platform and marketplace facilitator, not a licensed real estate broker, investment advisor, financial advisor, or agent. Nothing in these Terms, on the Platform, or arising from your use of the Platform creates a brokerage, agency, fiduciary, partnership, joint venture, or employment relationship between you and Invest.Lease. You are solely responsible for independently evaluating any listing, requirement, investment opportunity, or other content posted on the Platform and for obtaining independent professional advice where appropriate.
The Platform incorporates third-party services to deliver certain functionality, including but not limited to: Ably (real-time notifications), LiveKit (video and voice communications), Google Maps, Mapbox, and OpenStreetMap (location and mapping services), Stripe and Paddle (payment processing), Mailchimp (marketing communications), Sentry (error monitoring), and Google Cloud, Vercel, and Cloudflare (infrastructure and hosting).
Your use of features powered by these third-party services may be subject to their respective terms of service and privacy policies. Invest.Lease assumes no responsibility for service interruptions, changes in functionality, or modifications to the terms of any third-party integration.
Subscription fees are processed through Stripe or Paddle, depending on your jurisdiction. Where applicable, Paddle acts as Merchant of Record and assumes responsibility for VAT and local tax compliance on its supported transactions.
By subscribing to a paid plan, you authorize Invest.Lease and its designated payment processor to charge your selected payment method on a recurring basis in accordance with the billing cycle you have selected. All subscription fees are non-refundable except as expressly provided in our Billing Terms or as required by applicable consumer protection law. Failure to maintain a valid payment method or to settle outstanding balances may result in suspension or termination of access to paid features.
You may cancel your subscription at any time through your account settings or by contacting support@invest.lease. Cancellation will take effect at the end of your current billing period, and you will retain access to paid features until that date. Upon cancellation, your account will revert to the free tier (if available) or be deactivated. Your content and data will be retained in accordance with our Privacy Policy and Data Retention schedule. Invest.Lease reserves the right to modify subscription pricing or feature tiers at any time, with at least 30 days' advance notice provided via email or Platform notification.

The Platform facilitates connections between CRE professionals, buyers, sellers, tenants, landlords, and employers. Invest.Lease is not a party to any transaction, negotiation, or agreement entered into between users, and assumes no responsibility for the conduct, listings, representations, or actions of any user.
In the event of a dispute between you and another user arising from your use of the Platform, you agree to attempt to resolve such dispute directly with the other party. Invest.Lease may, at its sole discretion, provide reasonable assistance in facilitating communication between disputing parties but is under no obligation to do so and shall not be liable for the outcome of any user-to-user dispute. You hereby release Invest.Lease and its affiliates, officers, directors, employees, and agents from any claims, demands, and damages arising out of or in connection with such disputes.
If you submit ideas, suggestions, feedback, or recommendations regarding the Platform ("Feedback"), you grant Invest.Lease a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable license to use, reproduce, modify, adapt, publish, and incorporate such Feedback into the Platform or any future product, without any obligation of compensation, attribution, or confidentiality to you.
All intellectual property rights in and to the Platform — including its software, source code, design, architecture, trademarks, and branding — are and shall remain the exclusive property of Invest.Lease or its licensors. No rights are granted to you other than the limited license to access and use the Platform in accordance with these Terms.
Content you create and publish on the Platform (including profiles, posts, and listings) remains your property. However, by submitting such content, you grant Invest.Lease a worldwide, non-exclusive, sublicensable, royalty-free license to host, reproduce, display, distribute, and adapt that content solely to the extent necessary to operate, improve, and promote the Platform.
Invest.Lease processes personal data in accordance with our Privacy Policy, which is incorporated into these Terms by reference. By accessing or using the Platform, you acknowledge our data collection and processing practices, including the transfer of personal data to third-party service providers operating in Canada, the European Union, and other jurisdictions, as further described in our Privacy Policy.
Invest.Lease reserves the right to suspend or permanently terminate your account, at its sole discretion and without prior notice, in the event of: (a) a material breach of these Terms; (b) engagement in fraudulent, illegal, or abusive conduct; or (c) conduct that threatens the integrity, security, or reputation of the Platform or its users.
Upon termination, your right to access the Platform ceases immediately. Active listings, requirements, and other content may be removed. Provisions of these Terms that by their nature survive termination — including payment obligations, intellectual property rights, indemnification, disclaimers, and limitations of liability — shall remain in full force and effect.
The Platform and all content therein are provided on an "as is" and "as available" basis, without warranties of any kind, express or implied. Invest.Lease expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or free of harmful components, nor do we guarantee the accuracy, completeness, or reliability of any data, analytics, or content available through the Platform. Nothing on the Platform constitutes financial, investment, legal, or professional advice.
To the maximum extent permitted by applicable law, Invest.Lease and its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, loss of data, or loss of goodwill — arising out of or in connection with your use of or inability to use the Platform, even if advised of the possibility of such damages.
In all cases, our total aggregate liability to you shall not exceed the total fees paid by you to Invest.Lease during the twelve (12) months immediately preceding the event giving rise to the claim.
You agree to defend, indemnify, and hold harmless Invest.Lease and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Platform in violation of these Terms; (b) your breach of any representation, warranty, or obligation under these Terms; or (c) your infringement of any third-party intellectual property, privacy, or other rights.
Invest.Lease shall not be liable for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, civil unrest, governmental action or regulation, power failures, internet or telecommunications outages, or failure of third-party service providers. In such circumstances, Invest.Lease's obligations will be suspended for the duration of the event, and we will use reasonable efforts to resume normal operations as soon as practicable.
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict of law principles. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Toronto, Ontario, Canada, except to the extent that mandatory consumer protection laws in your jurisdiction require otherwise.
Invest.Lease reserves the right to modify these Terms at any time. In the event of a material change, we will provide advance notice via email or a prominent notice on the Platform. Your continued use of the Platform following the effective date of any modification constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must discontinue use of the Platform prior to the effective date.
Severability: If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions shall continue in full force and effect.
Entire Agreement: These Terms, together with our Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and Invest.Lease with respect to the Platform and supersede all prior or contemporaneous understandings, representations, or agreements, whether written or oral, relating to the same subject matter.
Waiver: No failure or delay by Invest.Lease in exercising any right, power, or remedy under these Terms shall operate as a waiver of that right. A waiver of any breach shall not be construed as a waiver of any subsequent breach of the same or any other provision.
Assignment: You may not assign or transfer your rights or obligations under these Terms without the prior written consent of Invest.Lease. Invest.Lease may assign these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, or sale of assets.
